Handling a company spin-off

Is there a "best way" of handling the situation where a company spins off part of itself into a new listed company then issues its shareholders with shares in the new company as a return of capital ie 1 share in the new company for every 3 shares held in itself. Also how should the new company shares be taken up to give proper yield results etc.etc.
